These Terms of Service ("Terms") govern access to and use of the ClinicFlow software-as-a-service platform (the "Services") provided by ClinicFlow Inc. ("ClinicFlow"). By signing up, you agree to these Terms.
1. Account & eligibility
- You must be a legal entity or individual able to enter into binding contracts.
- You're responsible for credential security and all activity under your account.
- Notify us immediately of any unauthorized access at [email protected].
2. Subscription & payment
- Subscriptions auto-renew at the end of each billing period unless cancelled.
- Fees are billed in advance and are non-refundable except as required by law.
- You authorize us to charge the payment method on file via Stripe.
- Late payment may result in service suspension after 14 days' written notice.
3. Acceptable use
- Use the Services only for lawful clinical operations.
- Do not reverse-engineer or attempt to bypass tenant isolation.
- Do not upload malware, illegal content, or content not authorized by the data subject.
- Do not use the AI skills to substitute for licensed clinical judgment.
4. AI features
AI-generated outputs are drafts and require clinician review before any clinical action. You retain responsibility for the accuracy of clinical decisions. The default policy is "human-in-the-loop"; tenants may configure auto-apply for low-risk, non-clinical actions only.
5. Customer data & PHI
You retain all rights to data you upload. You grant us a limited license to process it solely to provide the Services. We process PHI under our Business Associate Agreement.
6. Confidentiality
Each party will protect the other's confidential information with the same care it uses for its own (and at minimum reasonable care). Customer data is treated as Customer Confidential Information.
7. Service levels
Target uptime is 99.9% per calendar month, excluding scheduled maintenance announced 48 hours in advance. Service-level credits are detailed in your order form. Status page: status.clinicflowai.app.
8. Termination
- Either party may terminate for material breach uncured for 30 days.
- You may cancel at any time from the billing settings.
- Upon termination, you have 30 days to export your data.
- Past-due invoices remain payable.
9. Warranties & disclaimers
The Services are provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. ClinicFlow is not a medical device and does not diagnose, treat, or prescribe.
10. Limitation of liability
Our aggregate liability under these Terms is limited to the amounts paid by you in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.
11. Indemnification
You will indemnify us against third-party claims arising from your use of the Services in violation of these Terms or applicable law. We will indemnify you against third-party IP claims arising from our Services.
12. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Disputes are resolved by binding arbitration in San Francisco, CA, except where prohibited.
13. Changes to Terms
We may update these Terms. Material changes are notified via email to account contacts at least 30 days before they take effect.
